Senior Associate Legal Counsel
Qualifications:
Huron is seeking a self-motivated attorney with corporate and business law experience, especially in both Indian domestic and trans-national commercial transactions and intellectual property, who can work independently, as well as with its US in-house counsel to support Huron’s growing global presence. As a member of Huron’s Legal Department, you will draft, review and negotiate global contracts for professional services, as well as contracts with vendors working with Huron. You will help identify, recruit and oversee the efforts of at least one junior professional resource based in Bangalore. You will coordinate with stakeholders and opposing counsel to draft and implement risk mitigation strategies. The position requires regular communication with key business stakeholders throughout the Huron business, and creative and effective problem solving and negotiation skills in dealing with internal and external clients and vendors, including opposing counsel. The successful candidate will join a dynamic, collaborative and growing Corporate Legal Department.
- JD or LLB from a reputable academic institution, India-qualified lawyer (meets local legal license requirements)
- Qualified Company Secretary from Institute of Company Secretaries of India
- Minimum seven years of experience or more of in-house legal experience, corporate and business law experience, especially in both Indian domestic and trans-national commercial transactions and intellectual property, at a multi-national company or a leading law firm environment, drafting, reviewing, and negotiating commercial contracts.
- Developed knowledge of local/regional laws, regulations, policies, and procedures.
- Knowledge of employment laws and privacy regulations.
- Extensive experience in analyzing and responding to regulatory and compliance matters.
- Strong legal and business judgment.
- Exceptional verbal and written communication skills in English.
- English language skills to business standard preferred.
- Strong interpersonal and cross-cultural skills to effectively communicate and coordinate complex issues and projects with diverse levels of management and employees.
- Ability to prioritize work from different business units.
- Ability to work independently and within a team.
- Proficiency in MS Word, PowerPoint and SharePoint

- Business Contracts: Draft and negotiate professional services agreements between Huron and its clients, as well as vendor agreements between Huron and its suppliers and subcontractors. Review and make recommendations on nondisclosure agreements and requests for proposals issued by Huron clients. Develop basic contract templates for use by Huron in its subsidiaries in other countries.
- Compliance Support: Advise on legal framework to ensure regulatory and legal compliance, conduct in-person onboarding training for new employees covering the fundamentals and legal underpinning of Huron’s compliance programs. Work with Huron’s Chief Privacy Officer to implement policies and procedures to enhance compliance with applicable privacy regulations. Assist with local implementation and administration of Huron’s records management program. Provide local assistance with testing the business continuity program at Huron locations in India and other countries. Ensure regulatory requirements and risks are broadly understood by stakeholders. Maintain statutory records and registers, prepare and file necessary documents, e-forms, and returns as required under the Companies Act and other statutory acts. Proactively advise and assist in managing important changes in laws and regulation.
- Employment law: Provide legal advice and counsel to Human Resources and business teams regarding employment law matters, including employment terms and conditions, restrictive covenant agreements, policies and handbooks, investigations into employee conduct, and compensation matters.
- Corporate Governance: Assist with board meetings and preparation of corporate records for Huron’s subsidiaries in India and Singapore. Support the Company Secretary in Corporate Governance matters as per the Companies Act, 2013.
- Resource Management: Assist with recruiting, hiring and supervising a more junior Legal Department employee based in Bangalore in order to build capabilities in the various legal functions handled locally.
