Legal Counsel & Corporate Secretary
Location:

Qualifications:
- Bachelor of Laws Degree (minimum), from a reputable University in India and preferably with overseas education.
- Holder of a valid Attorney/ Legal Practitioner License in India (and Qualified Company Secretary from the Institute of Company Secretaries of India.
- Excellent command of the English language (written and spoken)
- At least 8 years of post-qualification experience, with solid training in private practice (dispute resolution and commercial law) and in-house experience (MNC) with demonstrated corporate secretarial experience.
- Working knowledge in competition and anti-trust laws in India.
- Ability to prioritize multiple projects under strict deadlines and ability to multi-task and handle highly confidential information;
- Proficient in Microsoft Office applications (MSWord, MSExcel, MSPowerpoint);
- Solid technical competencies in general corporate and commercial law, competition law, contract law, intellectual property law and legal compliance, with excellent drafting skills;
- Demonstrated enthusiasm and willingness to learn;
- Diligent and meticulous;
- Self-starter with strong project management, analytical and organizational skills;
- Strong verbal and written communication, interpersonal and presentation skills to effectively work with various departments and business units within Brenntag;
- Knowledge of general corporate formalities and corporate secretary requirements across Asia-Pacific region;
- Commitment to high ethical standards with superb business acumen.

- Responsibilities:
- Leading all legal matters, compliance and secretarial matters for the Brenntag India and for APAC projects assigned;
- Providing practical/ commercial legal advice to management and internal stakeholders regarding legal issues and risks;
- Reviewing, drafting and negotiating a variety of contracts and legal documents (both commercial and non-commercial); ensuring all contracts accurately reflect commercial decisions and are in compliance with all applicable laws and company policies;
- Overseeing and managing all company secretarial matters in Brenntag India , including but not limited to:
- Supervising and liaison with country corporate secretaries/ local legal officers on corporate secretarial matters;
- Initiating, implementing and developing a system to ensure all corporate filing deadlines in the Asia-Pacific regions are met;
- Responsible for proper maintenance of company records, books, registers and files for assigned countries; responsible for all statutory corporate secretarial and governance filings and reporting;
- Design, manage and lead the Corporate Secretarial needs of the organization
- Conducting Board Meetings of the Company
- Circulating the Draft minutes to Regional Legal and confirming the same
- Conducting Shareholders meetings and completing the Minutes of the Meeting
- Timely and accurately filing of all Statutory Returns.
- Maintaining in all completeness all statutory registers and records.
- Providing legal advice relating to employment matters and be a trusted partner to the human resources department;
- Implementing Brenntag APAC legal and compliance policies and guidelines at Brenntag India and conduct necessary trainings as instructed by the Brenntag APAC legal and compliance department;
- Attending to registration, maintenance and renewal of intellectual property for assigned countries;
- Overseeing and managing legal claims and litigation; managing and liaising with external counsel as required for assigned countries;
- Providing support to Brenntag APAC Head of Legal in relation to compliance related matters, policies and procedures.
