Responsibilities:
- Ensure that the companies Amway India Enterprises Pvt Limited. Am sure Consultants Limited and Meserve Consultants Limited comply with the applicable secretarial standards
- Conducting of Board Meeting including finalization of Agenda, Preparation of Board Folder, and Finalization of Minutes & Follow up Action thereof for Amway India Enterprises Pvt Limited. Am sure Consultants Limited and Meserve Consultants Limited.
- Provide the Directors of Amway India Enterprises Pvt Limited. Am sure Consultants Limited and Meserve Consultants Limited collectively and individually, such guidance as they may require, about their duties, responsibilities, and powers, and to assist the Board of Directors in the conduct of the affairs of the company
- Report to the Board of Directors about compliance with the provisions of the Companies Act 2013, the rules made thereunder, and other laws applicable to the company
- To assist and advise the Board of Directors in ensuring good corporate governance and in complying with the corporate governance requirements and best practices
- Obtain approvals from the Board of Directors, general meeting, the government, and such other authorities as required under the provisions of the Companies Act 2013
- Statutory Filing of documents including forms, returns, and applications with the Ministry of Corporate Affairs (MCA) aligned with the statutory requirement under the Companies Act for Amway India Enterprises Pvt Limited. Am sure Consultants Limited and Meserve Consultants Limited.
- Applying for Director Identification Number (DIN) & Digital Signature Certificate (DSC) with the Ministry of Corporate Affairs.
- Maintenance of secretarial records, statutory books & registers for Amway India Enterprises Pvt Limited. Am sure Consultants Limited and Meserve Consultants Limited
- Assisting in Secretarial & Compliance Audit for Amway India Enterprises Pvt Limited. Am sure Consultants Limited and Meserve Consultants Limited.
- Preparation & Filing of Annual returns & Accounts with Registrar of Companies (ROC) for Amway India Enterprises Pvt Limited. Am sure Consultants Limited and Meserve Consultants Limited.
- Other declaration attestation & certification under Companies Act 1956.
- Obtain approvals from the Board of Directors, general meeting, the government, and such other authorities as required under the provisions of the Companies Act 2013
- Represent before various regulators, and other authorities under the Companies Act 2013 in connection with the discharge of various duties under the Companies Act 2013
- Supporting the various quarterly audits by external auditors for Amway India Enterprises Pvt Limited. Am sure Consultants Limited and Meserve Consultants Limited.
- Drafting and finalizing Director’s Report, Annual return, CSR Return, RBI’s FLA return, FC-GPR, DPT-3 return, and Financial Statement.
- Liaisoning with MCA, Registrar of Companies (ROC), Reserve Bank of India (FLA return and LEI), and other regulators for necessary approvals and authorizations including preparing and submitting any queries/notice received from the respective departments.
- To discharge such other duties as have been specified under the Companies Act 2013 or rules
- Assisting in legal matters about Amway India Enterprises Pvt Limited. Am sure Consultants Limited and Meserve Consultants Limited.
- Ensuring Compliance with respective Joint Venture between Amway/Hollard.
- Be the Key Managerial Personnel for Amway India Enterprises Pvt Limited. Am sure Consultants Limited and Meserve Consultants Limited.
- Secretarial support for the CSR activities.
- Certifying the requisite documents for compliances under the Consumer Protection (Direct Selling) Rules, 2021
Legal Support:
- Drafting and Vetting of legal documents/agreements/contracts to protect the best interest of the company and that they comply with all statutory and legal requirements.
- Provide support to the different functions of the organization in contracting and advisory
- Providing support for Amsure Consultants Limited and Meserve Consultants Limited.
- Extend support in Commercial litigation like Food laws, Consumer Protection Act, and Legal Metrology-related issues.
- Brand support for select brands and products which includes claim support, advertising support, and artwork support
- Drafting and Vetting of legal documents/agreements/contracts to protect the best interest of the company and that they comply with all statutory and legal requirements.
- Provide support for assigned functions in contracting and advisory
