Role:
Commercial Lawyer
Qualifications:
- Being strong in contract law and contract drafting and review.
- Drafting of a variety of commercial agreements, including NDAs, LOI, Terms Sheet, Distribution Agreement, Commission Agreement, International Purchase and Sale Agreements.
- Providing legal support to business partners of all company divisions.
- Preparing all corporate documents necessary for corporate compliance (including minute books, annual filings, corporate resolutions).
- Preparing negotiation guidelines ready-to-use standard contracts and relevant processes for negotiation and execution of commercial contracts.
- Contributing to automation, e-confirms, digitization of contract management and entity management.
- Monitoring legal and regulatory changes that affect the business and amend template agreements accordingly.
- Reporting directly to the Senior Legal Counsel in Geneva, Switzerland.
Responsibilities:
- Bachelor of Laws (LLB).
- Minimum 5 years of legal experience, preferably as in-house lawyer in a company having international operations; Experience in the commodities sectors would be an asset.
- Should have good knowledge on General Law, Corporate Law, Commercial Law and Trade Law.
- Knowledge in IT, Data privacy, Maritime law or any Trade Industries (GAFTA, FOSFA, ICA) or Incoterms would be an asset.
- Excellent problem solving, analytical and organizational skills.
- Self-driven and resourceful.
- Excellent interpersonal and communication skills.
- Excellent writing and communication skills in English; Knowledge of other foreign languages would be an asset (French).
- Able to work under pressure and meet deadlines.
- Proactive, creative and quick learner.
- Excellent working knowledge of MS Office (Word, Power point, Teams).
