Role:
Assistant Company Secretary
Responsibilities:
- Ensure compliance with the Companies Act, 2013, and other applicable laws, rules, and regulations.
- Prepare and file statutory forms, returns, and reports with the Registrar of Companies (RoC) and other regulatory authorities.
- Maintain and update statutory registers, records, and minutes of board meetings, general meetings, and committee meetings.
- Assist in organizing and conducting board meetings, general meetings, and committee meetings, including preparing agendas, drafting minutes, and issuing notices.
- Provide guidance and support to the board of directors and senior management on corporate governance matters.
- Monitor changes in relevant legislation and regulations, and communicate the impact on the company’s operations and compliance obligations.
- Coordinate with external legal advisors, auditors, and other professionals as required.
- Draft, review, and negotiate legal contracts and agreements, ensuring compliance with applicable laws and protecting the company’s interests.
- Handle matters related to corporate restructuring, mergers and acquisitions, and other corporate transactions.
- Assist in the preparation and review of annual reports, financial statements, and other corporate disclosures.
- Conduct legal research and provide advice on legal and regulatory issues affecting the company.
- Assist in the development and implementation of corporate policies and procedures.
- Maintain confidentiality of sensitive company information and handle confidential matters with discretion.
- Stay updated with changes in company law, corporate governance practices, and regulatory requirements.
