Role: Senior Associate – Cosec
Qualification:
- Ability to understand and interpret legal/regulatory concepts
- Good organisation skills
- Excellent communication skills
- Attention to detail
- Good team player
- Able to work to targets
- Ability to take ownership and responsibility
- At least 1 year Company Secretarial experience, preferably from client service providing background.
- Required – Company Secretary/ Semi qualified CS, Bachelor of Law with CS experience will also be considered
Responsibilities:
- Generating of Annual General Meeting packs for annual compliance (Notice, Appointment of representatives, AGM Minutes, Consent for shorter notice members/auditors) and Power of attorney.
- Generating of Annual Compliance packs (additional to AGM packs – preparation of Board minutes/resolutions for the approval of financial statements and generating of the companies registers from the software).
- Change in officers (Directors, Secretary, Alternate Directors) – Drafting of various documents based on standard formats including but not limited to letters of appointment/resignation and related Companies registry filings.
- Share Charge Deliverables – Assistance in drafting/generating of relevant letters/ documents.
- Assistance in preparing company formation documentation (Constitution, letter of no objection/association, Companies Registry Filings)
- Assisting in generating of Members Voluntary Liquidations (MVL)/Voluntary Strike Off packs (Board minutes, Members Resolutions, newspaper publications and Companies registry filings).
- Working on Ad-hoc activities as requested by the onsite team/ organisation.
